Welcome to THARΞX EA ("we", "us", "our", "THARΞX"). These Terms of Service ("Terms") govern your purchase and use of the THARΞX Expert Advisor software ("EA", "Software") and all related services accessed via tharexea.com (the "Website").

By purchasing, downloading, installing, or using THARΞX EA, you agree to be bound by these Terms. If you do not agree, do not use the Software.

1. License Grant

Subject to your full payment and ongoing compliance with these Terms, THARΞX grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on:

  • The specific MT5 account number(s) you register with us
  • For personal trading purposes only
  • For the duration of your paid plan (7-day trial / lifetime / custom)

2. Restrictions

You may NOT:

  • Resell, redistribute, lease, lend, or transfer the Software to any third party
  • Reverse-engineer, decompile, disassemble, or extract source code from the Software
  • Modify, adapt, translate, or create derivative works
  • Share license credentials or MT5 account assignments
  • Use the Software on accounts not registered and approved by us
  • Use the Software for any unlawful purpose

3. Account & License Activation

After payment, you must provide your MT5 account number through your customer dashboard. Licenses are bound to specific MT5 account numbers and cannot be transferred to other accounts without our written approval.

Trial licenses expire automatically after their duration. Lifetime licenses remain active indefinitely unless terminated for breach.

4. No Guarantees

IMPORTANT: Past performance is NOT indicative of future results. The Software does not guarantee any profit, return, or trading outcome. All trading involves significant risk of loss.

5. User Responsibility

You are solely responsible for:

  • All trading decisions, settings adjustments, and risk management
  • Monitoring the Software and your MT5 terminal
  • Ensuring sufficient margin and account balance
  • Understanding the strategy, leverage, and broker conditions
  • Complying with your local laws regarding algorithmic trading

6. Payment & Pricing

All prices are displayed in INR (₹) and/or USD. Payments are processed by Razorpay or other authorized payment providers. We reserve the right to change pricing at any time; existing licenses are not affected.

THARΞX EA is operated as a registered MSME in India. Tax invoice details available upon request.

7. Termination

We may suspend or terminate your license without refund if you:

  • Violate any of these Terms
  • Share or attempt to share the Software illegally
  • Attempt to reverse-engineer the Software
  • Engage in fraudulent payment activity

8. Intellectual Property

All rights, title, and interest in the Software (including source code, algorithms, branding, and documentation) are owned by THARΞX. The license granted to you does NOT transfer ownership. The THARΞX name, logo, and branding are protected under the Copyright Act, 1957 and the Trade Marks Act, 1999.

9. Limitation of Liability

To the maximum extent permitted by law, THARΞX shall NOT be liable for any:

  • Trading losses, missed opportunities, or lost profits
  • Broker errors, slippage, or platform downtime
  • Indirect, incidental, consequential, or punitive damages
  • Data loss or system damage

Our total liability shall not exceed the amount you paid for the Software in the past 12 months.

10. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be:

  • First, attempted to be resolved through good-faith negotiation
  • If unresolved, submitted to binding arbitration in India in accordance with the Arbitration and Conciliation Act, 1996
  • Subject to the exclusive jurisdiction of courts in India

11. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to: natural disasters, government actions, internet outages, broker failures, or third-party service interruptions.

12. Changes to Terms

We may update these Terms periodically. Continued use of the Software after changes constitutes acceptance of the new Terms.
